Founding Member Agreement

1. Overview

This Founding Member Agreement ("Agreement") establishes the terms and benefits for Members who join StackTrackPro during the Founding Phase (February 21, 2026 - August 31, 2026). Founding Members receive exclusive benefits and privileges in exchange for early adoption and community support.

2. Founding Member Eligibility

2.1 Qualification Criteria

To be designated a Founding Member, you must:

Join StackTrackPro between February 21, 2026 and August 31, 2026
Create an account and complete identity verification
Accept this Founding Member Agreement
Be at least 18 years old
Actively participate in the Platform (minimum 1 transaction within 90 days)

2.2 Designation

Founding Member status is indicated by a special badge on your profile. This badge is a lifetime designation that reflects your early support of the Platform.

3. Lifetime Benefits

3.1 Fee Discounts

Founding Members receive permanent discounts on all Platform fees:

Listing Fee Discount: 25% off all listing fees (permanent)
Final Value Fee Discount: 2% reduction on final value fees
Payment Processing Fee: 1.99% + $0.25 instead of 2.9% + $0.30 (Sellers)
Premium Buyer Bidding Fee: Waived for Founding Members

3.2 Exclusive Priority Support

Priority Support Queue: Fast-tracked support with average response time of 2-4 hours
Dedicated Account Manager: After $5,000 in transactions
Direct Escalation: Disputes escalate directly to senior team (not standard queue)
Monthly Check-in: Account specialist contacts you monthly to ensure satisfaction

3.3 Enhanced Features

Premium Analytics Dashboard: For Sellers - detailed performance metrics, buyer insights, market trends
Buyer Insights Reports: Monthly detailed report on bidding patterns, category trends, price changes
Watchlist Alerts: Unlimited custom alerts (non-members: 5 max)
Advanced Search Filters: Unlimited complex search combinations
Seller Tools Unlock: Access to all premium seller tools at no additional cost

3.4 Community Recognition

Founding Member Badge: Displayed on all profiles and feedback
Founding Members Wall of Honor: Optional listing on Platform's "Founding Members" page

3.5 Referral Rewards Enhancement

Referral Bonus: Earn $25 for each Buyer referral, $50 for each Seller referral (vs. standard $10/$20)
Unlimited Referrals: No cap on referral commissions from your referred network
Tier Bonus: If network hits $50k total sales, earn ongoing 0.5% commission on their sales

4. Seller-Specific Founding Benefits

4.1 Automatic Tier Placement

All Founding Member Sellers start at Silver Tier or higher:

New Seller Founding Members: Immediate Silver Tier status (normally requires 10+ ratings)
Experienced Sellers: Placed in appropriate tier based on history
Fast Tracking: Can progress to Gold Tier with just 50 ratings instead of 100

4.2 Seller Performance Bonus

Earn monthly bonus if Seller Rating stays above 95%:
- 0-50 sales/month: $25 bonus
- 51-150 sales/month: $75 bonus
- 151-500 sales/month: $250 bonus
- 500+ sales/month: $500 bonus
Bonus deposited to account by the 15th of following month

4.3 Listing Promotion

Featured Listing Rank Boost: Free listings appear higher in "New Listings" section
Weekly Promotional Spotlight: One free featured listing per month in category spotlight
Homepage Featured Slot: Quarterly guaranteed feature on Platform homepage (1 week each)

5. Buyer-Specific Founding Benefits

5.1 Buying Power

Bid Limit Increase: Can bid up to $50,000 per auction (non-members: $25,000)
Extended Auto-Pay: Automatic payment processing for bids under $5,000

5.2 Buyer Rewards Program

Earn 1 StackTrackPro Credit for every $20 spent
Spend 50+ Credits to unlock exclusive seller-only listings
Partner retailer partnerships offer additional discounts

5.3 Buyer Protection Enhancement

Insurance Coverage: Free insurance on purchases over $500 (normally costs 1%)
Return Window: Extended 45-day returns window (3x normal 30 days) if Seller agrees
Authentication Guarantee: Free professional authentication if item authenticity is questioned (up to $100 value)

6. Financial Terms and Obligations

6.1 No Membership Fee

Founding Member status carries NO monthly or annual fee. The status is free for life, tied to your original account.

6.2 Benefit Continuation

All Founding Member benefits continue indefinitely for the life of your account, provided:

You maintain an active account (1+ transaction per calendar year)
Your account remains in good standing (no suspensions, bans, or violations)
You comply with all Platform Terms of Service and policies

6.3 Account Inactivity

If no transactions for 12 months: Account enters "Inactive" status
Inactive accounts: All benefits suspended until reactivated (1 transaction)
Return within 12 months: Full benefits restored immediately
Dormant beyond 24 months: Account may be closed per Terms of Service

7. Founding Member Responsibilities

7.1 Code of Conduct

Founding Members agree to:

Be exemplary community members and follow all Community Guidelines
Conduct all transactions in good faith and with integrity
Respond promptly to communication and messages
Report fraudulent activity and violations to StackTrackPro
Maintain high standards of accuracy and honesty

7.2 Feedback and Participation

Founding Members are invited to:

Participate in beta testing of new features
Provide feedback and suggestions for Platform improvement
Engage in community discussions and forums
Help onboard and support new members

7.3 Non-Transferability

Founding Member status is personal and non-transferable:

Status is bound to your original account only
Cannot be transferred to other accounts or persons
Account cannot be sold, gifted, or inherited with Founding status
If account is closed, Founding status is permanently forfeited

8. Restrictions and Limitations

8.1 Terms Violations

If a Founding Member violates Terms of Service:

Minor Violations: Warning + temporary benefit suspension (7 days)
Moderate Violations: Benefit suspension (30-90 days) + possible downgrade
Severe Violations: Permanent revocation of Founding Member status and account termination

8.2 Fee Disputes

Fee dispute exceptions for Founding Members:

Listing fees are non-refundable, but discounts apply to all future listings
If charged incorrect fee amount: Refund issued + 1 month free premium support

8.3 Benefit Changes

While StackTrackPro commits to honoring Founding Member benefits indefinitely:

Platform reserves right to adjust specific benefit details (e.g., discount percentage)
Core benefits (fee discounts, priority support, recognition) will never be removed
Material changes will be announced 60 days in advance
Members can opt out by forfeiting status if changes are unacceptable

9. Tier Advancement Guarantee

9.1 Seller Tier Protection

Founding Member Sellers receive Tier protection:

Cannot be downgraded to lower tier if meeting 90%+ feedback threshold
Single month of poor performance (89% rating) triggers warning, not downgrade
Must have 2 consecutive months below 85% to trigger downgrade

9.2 Performance Bonus Guarantee

Monthly Seller bonus is guaranteed if:

Maintain 95%+ feedback rating
Complete 10+ sales that month (minimum for bonus eligibility)
No active violations or disputes

10. Account Changes and Transitions

10.1 Buyer to Seller Transition

Founding Members who become Sellers:

Retain all Buyer benefits
Automatically receive Silver Tier as new Seller
Can collect both Buyer and Seller benefits

10.2 Account Upgrades

If you upgrade to a business account:

Founding Member status transfers to business account
All benefits remain active
Personal benefits expand to all account users with proper permissions

11. Dispute Resolution for Founding Members

11.1 Priority Arbitration

Founding Member disputes receive expedited resolution:

StackTrackPro review: 5 business days (vs. 10 for standard members)
Senior arbitrator assigned to case if escalated
Direct relationship with Dispute Resolution team

11.2 Escalation Appeal

Founding Members can appeal disputed decisions once:

Submit appeal within 7 days with new evidence
Senior team reviews case within 5 business days
Appeal decision is final and binding
No escalation fee required

12. Anniversary Recognition

StackTrackPro honors long-term Founding Members with annual recognition:

1-Year Anniversary: Special badge and $50 platform credit
3-Year Anniversary: $100 platform credit + exclusive merchandise
5-Year Anniversary: $250 platform credit + featured article in community newsletter

13. Communication and Updates

13.1 Founding Member Communications

Founding Members receive:

Quarterly Founding Member newsletter with Platform insights
Early announcement of new Platform features and updates
Invitation to Founding Member-exclusive webinars
First access to advanced features during beta phase

13.2 Opt-In/Out

Founding Members can customize communication preferences:

Always receive critical account/security alerts
Can opt-out of marketing communications
Manage newsletter frequency and content preferences

14. Founding Member Legacy

14.1 Community Impact

Founding Members are part of StackTrackPro's foundation and will be recognized as such:

Eligibility to be featured in "Meet Our Founding Members" content
Opportunity to share your story and experience on Platform
Official recognition in StackTrackPro's founding history

14.2 Referral Legacy

Your referral network's success is celebrated:

You earn ongoing commissions from referred members
If referrals reach $100k total sales, receive exclusive Gold Ambassador status
Earn 1% lifetime commission on all referred member sales (capped at $10k/month)

15. Termination of Founding Status

15.1 Voluntary Termination

You can voluntarily forfeit Founding Member status at any time:

Submit request in Account Settings → Founding Member
Confirm forfeiture (this action is permanent)
Status cannot be regained once forfeited

15.2 Involuntary Termination

Status is revoked immediately for:

Account violation (fraud, illegal activity, hate speech, threats)
Repeated Terms of Service violations
Severe Community Guidelines breaches
Account termination for any reason

15.3 Re-eligibility After Forfeiture

Once Founding Member status is forfeited or revoked, it cannot be restored:

New accounts created after August 31, 2026 are not eligible
Closing and reopening an account forfeits status

16. Modifications to Agreement

16.1 Changes by StackTrackPro

StackTrackPro reserves the right to modify this Agreement:

Material changes to fees or core benefits: 60 days notice
Minor clarifications or administrative changes: Immediate
Notification via email and Platform announcement dashboard

16.2 Your Acceptance

Continued use of Founding Member benefits after modification notice constitutes acceptance of changes. You have the right to request status forfeiture if modifications are unacceptable.

17. Legal Terms

17.1 Entire Agreement

This Agreement, combined with StackTrackPro's Terms of Service, Privacy Policy, and other policies, constitutes the entire agreement regarding Founding Member status and benefits.

17.2 Governing Law

This Agreement is governed by the laws of the United States, without regard to conflict of law principles.

17.3 Dispute Resolution

Disputes regarding Founding Member benefits or this Agreement are subject to the Platform's standard dispute resolution process, with expedited review for Founding Members.
